Dr. Leanne Baker, Director

Dr. Baker has extensive experience in the mining / financial sectors and holds M.S. and Ph.D. degrees in mineral economics from Colorado School of Mines. She has been an independent consultant in the Mining and Financial Services Industry since 2002 and Managing Director of Investor Resources LLC since 2006. Prior to that, Dr. Baker was an Equity Research Analyst and Managing Director of Salomon Smith Barney / Citigroup in New York and San Francisco. Her more than 20 years of Wall Street research and banking experience included managing the commodity research team at Philipp Brothers, Inc. in the 1980s and helping to build a metals and mining equity research/banking franchise at Salomon Brothers Inc in the 1990s. Dr. Baker serves as Director of Agnico-Eagle Mines Ltd., Kimber Resources, Inc., Reunion Gold Corporation and US Gold Corporation, all public companies, as well as ETF Securities Ltd., a private company.

 
Mark T. Brown, B.Comm., C.A., Director and Chairman

Mr. Brown received a Bachelor of Commerce Degree from the University of British Columbia in 1990 and is a member of the Institute of Chartered Accountants of British Columbia. He is currently President of Pacific Opportunity Capital Ltd., a private company which provides financial solutions, equity and management services to small and medium size entrepreneurial enterprises. Prior to joining Pacific Opportunity Capital Ltd., Mr. Brown was the controller of three companies: Eldorado Gold Corporation, Miramar Mining Corporation and Northern Orion Exploration Ltd. Eldorado Gold Corporation is currently listed on the Toronto Stock Exchange and the American Stock and Options Exchange and Miramar Mining Corporation is listed on the Toronto Stock Exchange. Between 1990 and 1994, Mr. Brown worked with PricewaterhouseCoopers. He is currently a director and /or officer of various other public companies.

 
James A. Crombie, Director

Mr. Crombie graduated from the Royal School of Mines, London, in 1980 with a B.Sc. (Hons) in Mining Engineering, having been awarded an Anglo American scholarship. Mr. Crombie has held various positions in the mining industry; including DeBeers Consolidated Mines and the Anglo American Corporation in South Africa and Angola between 1980 and 1986. He spent the next thirteen years as a mining analyst and investment banker with Shepards, Merrill Lynch, James Capel & Company and finally with Yorkton Securities.

Mr. Crombie was the Vice President, Corporate Development of Hope Bay Mining Corporation Inc. from February 1999 through May 2002 and President and CEO of Ariane Gold Corporation from August 2002 to November 2003. Mr. Crombie was President, CEO and a director of Palmarejo Silver and Gold Corporation until the merger with Coeur d'Alene Mines Corporation, one of the world's leading silver companies, in December 2007. He was a director of Sherwood Copper Corporation until its business combination with Capstone Mining Corporation in November 2008.

Currently, Mr. Crombie is a director of Arian Silver Corporation and is CEO, Executive Vice-Chairman of Queensland Minerals Ltd., President, CEO and director of Odyssey Resources Ltd., and President, CEO and director of Reunion Gold Corporation.

 
David A. Fennell, Director

Mr. Fennell received his law degree in 1979 from the University of Alberta and practiced in the areas of corporate and resource law, until 1983 when he founded Golden Star Resources. During his term as President and CEO, Golden Star became a TSE 300 company and one of the largest and most successful exploration companies. In 1998, Mr. Fennell left Golden Star to become Chairman and CEO of Cambiex Explorations Ltd, which became Hope Bay Gold Corporation. He held this position until the merger of Hope Bay and Miramar Mining Corporation where he continued as Executive Vice-Chairman and director for the combined entity until its takeover, in January 2008, by Newmont Mining Corporation, a leading gold producer. He was Chairman of Ariane Gold Corporation from August 2002 until its acquisition by Cambior Inc. in November 2003, and was a director of Palmarejo Silver and Gold Corporation until the merger with Coeur d'Alene Mines Corporation, one of the world's leading silver companies, in December 2007. He was Chairman of Maximus Ventures Ltd. until the business combination with NX Gold Ltd and was subsequently renamed Bear Lake Gold Ltd. Mr. Fennell is currently Chairman of Bear Lake Gold Ltd. and Queensland Minerals Ltd., and Executive Chairman of Odyssey Resources Ltd., a director of Major Drilling Group International Inc. and Chairman of Reunion Gold Corporation.

 
Allen S. Winters, Director and Consultant

Mr. Winters is currently a consultant to the mining industry and served in a variety of senior executive management positions with Homestake Mining Co. over a 20-year period (1975-1995). Homestake Mining Co. merged into Barrick Gold Corporation in December 2001 to create one of the world's largest gold mining companies. At the time of his retirement from Homestake in 1995, Mr. Winters was Vice President and General Manager of the Homestake Mine in Lead, South Dakota. From 1988 through 1992, he served as Vice President of U.S. Operations for Homestake and had direct responsibility for five domestic mining operations producing precious metals and uranium for two joint ventures.

David A. Cochrane P.G., C.E.G.
Position: Vice President - Environmental Health & Safety

Mr. Cochrane is a Professional Geologist and Certified Engineering Geologist with over 30 years of combined professional and management experience. Mr. Cochrane joined the Sutter Gold team in September 2009 from Golder Associates Inc. During his tenure with Golder, he was the Operations Manager for their northern California operations where he managed and directed a wide range of projects for both the public and private sectors.

In 2005, he was instrumental in assisting Sutter Gold Mining Company in obtaining a critical permit from the state of California allowing the emplacement of mining and milling wastes to both the ground surface and underground mine workings at the Company's Lincoln Mine Project. Since then he has continued to assist Sutter Gold Mining Company in obtaining other permits and regulatory approvals to develop the Lincoln Mine Project.

He has a broad background of providing consulting services to many industries including mining, manufacturing, oil and gas, timber, energy, land development, real estate, waste management and resource recovery as well as federal, state and local governmental agencies. He has managed operations in both the waste management industry and environmental, engineering and earth sciences consulting.

 
Amanda Miller
Position: Chief Financial Officer

Ms. Miller has eleven years of mixed public and private accounting experience in multiple industries including both gold mining and coal mining. She has extensive experience in public reporting for both the Canadian and U.S. exchanges. Most recently she was employed in the Accounting and Finance department with US Gold, where she was responsible for internal SOX compliance, general ledger accounting and financial Reporting. She has a B.S. degree in accounting from the University of Wyoming.
